1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your use of the Vidatum Ltd (“Vidatum”, “we”, “our”) website located at https://www.vidatum.com (the “Site”) and the provision of demonstration materials. Access and use of the Site constitutes your acceptance of these Terms.

These Terms do not constitute a software license or service agreement. A separate, negotiated Master Services Agreement (“MSA”) governs access to and use of the Vidatum research management platform (the “Platform”) by client institutions.

2. Intellectual Property Rights

All intellectual property rights in the Site, its content, and the Vidatum Platform (including but not limited to software, designs, text, graphics, and logos) are owned by or licensed to Vidatum Ltd. The “Vidatum” name and logo are trademarks of Vidatum Ltd.

You may view and download Site content for personal, non-commercial reference only. No material from the Site may be copied, reproduced, republished, or distributed without prior written consent from Vidatum.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the Site.

Prohibited activities include:

• Unauthorised access to any part of the Site or related systems
• Introducing viruses or malicious code
• Attempting to reverse engineer or extract source code
• Using the Site for any commercial solicitation without our consent

4. Demonstration Materials & Confidentiality

Any demonstrations, trials, or confidential information (“Confidential Materials”) provided by Vidatum in connection with a potential engagement are provided solely for evaluation purposes.

You agree to:

• Hold Confidential Materials in strict confidence
• Use them only for internal evaluation
• Not disclose them to any third party without Vidatum’s prior written consent
• Return or destroy all Confidential Materials upon request

5. Disclaimer of Warranties

The Site and its content are provided “as is” and “as available” without warranties of any kind, either express or implied. Vidatum disclaims all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Vidatum does not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components.

6. Limitation of Liability

To the fullest extent permitted by law, Vidatum Ltd, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Site.

This limitation applies regardless of the theory of liability (contract, tort, or otherwise) and even if Vidatum has been advised of the possibility of such damages.

7. Links to Third-Party Sites

The Site may contain links to third-party websites. These links are provided for convenience only. Vidatum has no control over and accepts no responsibility for the content, privacy policies, or practices of any third-party sites.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the Irish courts.

9. Changes to Terms

Vidatum reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site following any changes constitutes acceptance of those changes.
